These Terms of Use (“Terms”) govern your access to and use of our website, learning platform, assessments, digital resources, online courses, memberships, consulting services, and related content (collectively, the “Services”).

1. About Execution Institute

Execution Institute is an independent professional education and business advisory organization that provides educational resources, implementation frameworks, leadership development, AI governance education, strategic planning tools, and execution systems for growing organizations.
Execution Institute is not a university, college, accredited educational institution, or professional licensing body unless expressly stated for a specific program.
Completion of our programs does not confer an academic degree, professional designation, or government-recognized certification.

2. Eligibility

You must be at least 18 years of age and capable of entering into legally binding agreements to use our Services.
If you are using our Services on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

3. Educational Purposes Only

All content provided through Execution Institute is intended solely for educational and informational purposes.
Our materials are designed to support strategic thinking, leadership development, operational improvement, AI adoption, governance, sustainability, and organizational effectiveness.
Nothing contained within our Services constitutes:
  • legal advice;
  • accounting advice;

You remain solely responsible for decisions made using information obtained through our Services.

5. Memberships and Accounts

Some Services require registration.
You agree to:
  • provide accurate information;
  • maintain the confidentiality of your login credentials;
  • promptly notify us of unauthorized access to your account;
  • accept responsibility for all activity occurring under your account.
We reserve the right to suspend or terminate accounts used in violation of these Terms.

6. Payments

Fees for memberships, courses, consulting services, workshops, assessments, or other offerings are displayed at the time of purchase.
Unless otherwise specified:
  • all prices are stated in Canadian Dollars (CAD);
  • applicable taxes will be added where required;
  • payment is due at the time of purchase.
Subscription services renew automatically unless cancelled in accordance with the applicable membership terms.
Separate refund and cancellation policies may apply to specific products or services.

7. Intellectual Property

All content provided by Execution Institute is protected by Canadian and international intellectual property laws.
This includes, but is not limited to:
  • course materials;
  • playbooks;
  • templates;
  • worksheets;
  • assessments;
  • videos;
  • graphics;
  • branding;
  • logos;
  • frameworks;
  • methodologies;
  • AI prompts;
  • strategic models;
  • articles;
  • presentations;
  • downloadable resources.
Except as expressly permitted, you may not:
  • reproduce;
  • distribute;
  • modify;
  • sell;
  • sublicense;
  • publish;
  • translate;
  • create derivative works from;
  • publicly display;
  • commercially exploit
any portion of our content without prior written permission.

8. Personal Licence

We grant you a limited, non-exclusive, non-transferable, revocable licence to access our Services solely for your own personal or internal business use.

Memberships and course access may not be shared with other individuals unless expressly permitted by the applicable subscription plan.

9. Acceptable Use

You agree not to:
  • interfere with the operation of the Services;
  • attempt unauthorized access to our systems;
  • reverse engineer our software;
  • scrape or harvest website content using automated tools without permission;
  • upload malicious software;

AI-generated outputs are intended solely to support decision-making and should not be relied upon as the sole basis for business, legal, financial, regulatory, or employment decisions.

Execution Institute does not control these third-party resources and assumes no responsibility for their content, availability, security, or accuracy.
Access to third-party resources is at your own risk.

12. User Content

Where users submit comments, assignments, discussion posts, assessments, or other materials, you retain ownership of your content.
By submitting content through our Services, you grant Execution Institute a non-exclusive licence to use, display, reproduce, and store that content solely for the purpose of operating, improving, and delivering the Services.
You represent that you have the right to submit all content you provide.

13. Confidential Information

Execution Institute will treat confidential business information shared during consulting engagements or private coaching sessions in accordance with applicable contractual obligations.
Users should avoid submitting confidential, proprietary, or regulated information through public discussion boards or unsecured communication channels.
Separate consulting agreements may contain additional confidentiality provisions.

14. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, Execution Institute disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, uninterrupted availability, or non-infringement.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Execution Institute and its directors, employees, instructors, contractors, affiliates, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from the use of the Services.
Our total aggregate liability for any claim relating to the Services shall not exceed the amount paid by you to Execution Institute during the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

16. Indemnification

You agree to indemnify and hold harmless Execution Institute, its officers, employees, contractors, affiliates, instructors, and partners from claims, damages, liabilities, costs, and legal expenses arising from:
  • your use of the Services;
  • your violation of these Terms;
  • your infringement of another person’s rights;
  • your misuse of course materials or intellectual property.

17. Suspension or Termination

Execution Institute may suspend or terminate access to the Services where users:
  • breach these Terms;
  • engage in fraudulent activity;
  • misuse our intellectual property;
  • interfere with platform security;
  • violate applicable laws.
Termination does not affect accrued rights or obligations.

18. Changes to the Services

19. Changes to these Terms

Execution Institute may revise these Terms periodically.
Updated versions will become effective upon publication on our website.
Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
The parties agree that the courts located in Ontario shall have exclusive jurisdiction over disputes arising from these Terms, unless otherwise required by applicable law.

21. Severability

If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain in full force and effect.

22. Entire Agreement

These Terms constitute the entire agreement between you and Execution Institute regarding the use of the Services and supersede any prior understandings relating to those Services.
